Senior Commercial Counsel - Ai/SaaS

I’m currently partnering with a high-growth AI technology company looking to add a Senior Commercial Counsel to its legal team. This role is fully remote but there is a preference to be based in Austin, Texas.

The business operates a market-leading AI-powered SaaS platform used by major global enterprises and is looking for an experienced commercial lawyer to take ownership of some of its most complex and high-value transactions.

The Role

Working closely with the Deputy General Counsel and senior stakeholders across Sales, Finance, Privacy, Security and Customer Success, you will:

• Lead complex enterprise SaaS and technology transactions from negotiation through execution.
• Draft and negotiate MSAs, SaaS agreements, software licensing, professional services, strategic partnership, reseller/channel and vendor agreements .
• Advise on limitation of liability, indemnification, IP, data rights, SLAs and audit rights .
• Partner with Privacy and Security teams on DPAs, GDPR, CCPA/CPRA, HIPAA and cross-border data requirements .
• Act as a strategic advisor to senior Sales and business leadership on major enterprise deals.
• Develop commercial playbooks, templates, approval processes and training to help scale the legal function.
• Help implement AI-powered legal and contracting workflows .
• Mentor and support junior members of the legal team.

The Ideal Candidate

• 8–15 years’ legal experience , with substantial in-house experience within SaaS, software or technology .
• Strong track record independently negotiating complex, high-value enterprise agreements .
• Deep understanding of SaaS/technology contracting and data privacy .
• Experience advising senior commercial and business stakeholders.
• Experience developing scalable commercial legal processes and playbooks.
• Strong interest in AI and AI-powered legal tools .
• Previous mentoring or leadership experience is highly desirable.

Location

Texas is strongly preferred , particularly candidates based in or around Austin . However, the company is open to fully remote candidates across the US for the right person.
